TERMS OF USE
Effective Date: October 19, 2026
These Terms of Use (“Terms”) govern your access to and use of projecct.com and any other websites, online platforms, portals, applications, content, programs, services, communications, and other digital properties operated by PROJECCT LLC, a Wyoming limited liability company (“PROJECCT,” “we,” “us,” or “our”). We refer to these collectively as the “Services.”
PROJECCT operates through several divisions and service offerings, including PROJECCT OPS, PROJECCT PRO, and PROJECCT LINK. References to “PROJECCT” in these Terms include these divisions unless otherwise stated.
By accessing or using the Services, creating an account, purchasing a product or service, registering for a workshop or program, submitting information, applying to participate in a network, or otherwise using any PROJECCT service, you agree to these Terms and acknowledge our Privacy Policy.
If you do not agree, do not use the Services.
1. PROJECCT SERVICES
PROJECCT may provide services including, without limitation:
PROJECCT OPS
Property, facility, maintenance, repair, turn, preservation, inspection, field-service coordination, vendor management, commercial property services, REO-related services, HOA-related services, and related property support services.
OPS services may be performed directly by PROJECCT or through qualified independent service providers, subcontractors, vendors, or other third parties.
PROJECCT PRO
Business consulting, operational development, business education, training, workshops, cohorts, courses, live and recorded sessions, resources, systems, templates, tools, coaching, strategic guidance, contractor development, and other services designed to help service businesses improve their operations and pursue direct-work opportunities.
PROJECCT LINK
Business networking, provider discovery, opportunity discovery, vendor sourcing, introductions, qualification support, credential management, communications, and related services intended to help businesses and service providers discover and pursue potential commercial relationships.
The services available may change from time to time.
2. WEBSITE TERMS VS. SEPARATE AGREEMENTS
These Terms govern general use of the Services.
Certain products or services may also be governed by a separate service agreement, work order, statement of work, contractor or vendor agreement, client agreement, membership agreement, subscription terms, program or workshop terms, order form, proposal, checkout terms, or other written agreement.
If a separate agreement conflicts with these Terms, the separate agreement will control with respect to the specific product, transaction, or service it covers.
3. ELIGIBILITY
The Services are intended for adults and businesses. You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.
4. ACCOUNTS AND PORTAL ACCESS
Certain Services, including client, vendor, provider, and program portals, may require you to create an account or log in.
You agree to provide accurate, complete, and current information and to update it when necessary.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. Accounts are for the individual or business they were issued to and may not be shared, sold, or transferred without our written permission.
You may not impersonate another person or business or provide false, misleading, fraudulent, or materially incomplete information.
Please notify us promptly if you believe your account has been accessed without authorization.
5. OPS SERVICES
OPS services may involve independent contractors, subcontractors, vendors, suppliers, and other service providers.
The scope, pricing, service levels, warranties, insurance requirements, responsibilities, and other terms applicable to a particular OPS engagement will ordinarily be defined in the applicable work order, service agreement, proposal, or other transaction-specific documentation.
PROJECCT may determine which service providers are eligible to receive or perform work through OPS and may establish qualification, documentation, insurance, licensing, performance, and compliance requirements.
Nothing on our website constitutes a guarantee that a particular property service will be available in a particular location.
6. PRO SERVICES
PRO provides business education, consulting, development, training, resources, and related information.
Information provided by PRO is intended for general business and educational purposes.
PROJECCT does not guarantee that participation in any PRO workshop, cohort, program, service, course, consultation, or resource will result in:
increased revenue or profitability;
business growth;
contracts, customers, or work orders;
direct-work relationships with any asset manager, property manager, servicer, or other client;
financing, certification, or licensing;
acceptance into any provider network; or
any particular business outcome.
Business results depend on many factors outside PROJECCT’s control, including your own effort, experience, market conditions, and the decisions of third parties. Any testimonials, examples, or case studies describe individual experiences and are not a promise or typical expectation of results.
Unless specifically stated otherwise, PRO services do not constitute legal, tax, accounting, investment, insurance, or other regulated professional advice. Obtain advice from appropriately licensed professionals where necessary.
7. WORKSHOPS, COHORTS, AND LIVE SESSIONS
Workshops, cohorts, consultations, and other live sessions may be delivered online through third-party video platforms or in person.
Scheduling. Dates, times, agendas, and presenters may change. If PROJECCT cancels a session, we will offer a rescheduled session, access to a recording, or another remedy described in the applicable checkout or program terms.
Attendance. Unless the applicable program terms say otherwise, missing a live session does not entitle you to a refund or a private make-up session.
Recordings. PROJECCT may record live sessions and make recordings available to participants or use them to improve and promote its programs. We will tell participants when a session is being recorded. If you do not want to appear in a recording, you may keep your camera off, use a display name of your choice, and participate by chat. You may not record, screenshot for redistribution, or rebroadcast any session without our written permission.
Conduct. Participants are expected to act professionally and respectfully. PROJECCT may remove anyone from a session or program who disrupts it, harasses others, or violates these Terms, without refund where permitted by law.
Confidentiality of other participants. Information other participants share during a session is shared for the purposes of the program. Do not use it to solicit, disparage, or compete unfairly against other participants.
8. LINK SERVICES
LINK is intended to facilitate business relationships, introductions, provider discovery, vendor sourcing, networking, and access to potential opportunities.
Unless expressly stated in a separate written agreement, PROJECCT, through LINK, is not:
an employer, joint employer, employment agency, or staffing agency for participating service providers;
a general contractor merely because an opportunity is listed or introduced;
a real estate broker, insurance broker, or financial institution;
a guarantor of payment or of provider performance; or
a party to agreements independently entered into between users.
PROJECCT may perform screening, credential review, qualification review, verification, or other diligence regarding providers or opportunities. Unless expressly agreed otherwise in writing, such review is not a guarantee, certification, warranty, endorsement, or representation that any person, company, provider, opportunity, client, project, or transaction is suitable, safe, solvent, licensed, insured, profitable, legitimate, or appropriate for you.
You are responsible for conducting your own due diligence before entering into any business relationship.
9. NO GUARANTEE OF OPPORTUNITIES
Participation in PRO, LINK, OPS provider networks, or any other PROJECCT program does not guarantee work, referrals, assignments, contracts, minimum revenue, minimum transaction volume, geographic exclusivity, acceptance by a client, continued participation, or any specific commercial opportunity.
PROJECCT may determine which opportunities are presented to which providers based on factors that may include location, capability, capacity, qualifications, performance, insurance, licensing, experience, client requirements, and other business considerations.
10. INDEPENDENT BUSINESSES
Unless expressly stated otherwise in a written agreement, service providers participating in PROJECCT networks are independent businesses.
Use of the Services does not, by itself, create an employment, partnership, joint venture, franchise, agency, fiduciary, or similar relationship between PROJECCT and any provider or user.
Each business is responsible for its own operations, taxes, employees, contractors, licenses, permits, insurance, equipment, regulatory compliance, and business decisions.
11. PROVIDER CREDENTIALS AND COMPLIANCE
PROJECCT may request information including business registration information, tax documentation (such as Form W-9), licenses, certifications, insurance certificates, workers’ compensation documentation or exemptions, references, service areas, capabilities, pricing, experience, performance information, and other business documentation.
Submitting information does not guarantee approval.
Providers are responsible for keeping their information accurate and current, including uploading renewed insurance and license documents before they expire.
PROJECCT may suspend or end access to opportunities where required information expires, becomes inaccurate, or no longer satisfies applicable requirements.
12. PRICING AND PAYMENTS
Prices will be displayed or otherwise communicated before purchase or engagement unless pricing is governed by a separate agreement.
Payments may be processed through third-party payment processors such as Stripe. By submitting payment information, you authorize the applicable payment processor and PROJECCT to process charges associated with your purchase.
You are responsible for applicable taxes, fees, and charges disclosed in connection with the transaction.
PROJECCT does not receive or store complete payment card numbers when payment information is processed directly by a third-party payment processor.
13. TAXES
Applicable sales, use, excise, or similar taxes may be added to purchases where required by law. Tax treatment may depend on the type of product or service, your location, and applicable law. Taxes may be calculated and collected through a third-party tax service or payment processor.
14. SUBSCRIPTIONS AND RECURRING BILLING
Certain Services may be offered on a subscription or recurring-payment basis.
If you purchase a recurring service, the checkout process or applicable order terms will disclose the amount charged, billing frequency, subscription duration (if applicable), renewal terms, and how to cancel.
By purchasing a recurring service, you authorize recurring charges in accordance with the terms presented at checkout until you cancel. You may cancel at any time using the method described at checkout or by contacting us; cancellation takes effect at the end of the current billing period unless otherwise stated.
Where required by law, PROJECCT will provide additional renewal notices, cancellation mechanisms, or other disclosures.
15. CANCELLATIONS AND REFUNDS
Refund and cancellation rights may differ by service.
The refund or cancellation policy presented at checkout, contained in a proposal, included in a separate service agreement, or otherwise communicated for a particular purchase will govern that transaction.
Unless otherwise required by law, fees are not refundable because you did not obtain the business results, referrals, contracts, opportunities, or other outcomes you hoped to achieve.
Nothing in this section limits any non-waivable consumer rights provided by applicable law.
16. USER AND PROVIDER SUBMISSIONS
You may submit information, documents, reviews, photographs, descriptions, profiles, credentials, business information, messages, feedback, or other materials (“User Content”).
You keep ownership of User Content you own.
You grant PROJECCT a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and use User Content as reasonably necessary to provide the requested services, administer accounts, facilitate business relationships, operate PROJECCT platforms, verify qualifications, communicate with users, improve the Services, and comply with legal obligations.
You represent that you have the right to provide User Content and that its use by PROJECCT for these purposes will not violate the rights of anyone else.
17. FEEDBACK
If you send us ideas, suggestions, or feedback about the Services, you agree that PROJECCT may use them without restriction or compensation to you.
18. REVIEWS, RATINGS, AND PERFORMANCE INFORMATION
PROJECCT may collect and maintain information about provider performance, responsiveness, quality, reliability, compliance, client feedback, and transaction history.
Where permitted by law and applicable agreements, PROJECCT may use this information for provider qualification, opportunity allocation, risk management, quality control, and network administration.
19. ACCEPTABLE USE
You may not use the Services to:
violate any law or regulation;
commit fraud or misrepresentation;
submit false credentials or insurance documents;
impersonate another person or company;
interfere with the operation or security of any PROJECCT platform;
scrape, harvest, copy, or systematically extract information from the Services without authorization, including by automated means;
obtain opportunities, contact data, or proprietary information for unauthorized redistribution or resale;
introduce malicious software;
infringe intellectual property rights;
harass or threaten another user;
share login credentials or paid program access with people who have not purchased it;
circumvent access controls or fees; or
use PROJECCT information for an unlawful or unauthorized purpose.
20. INTELLECTUAL PROPERTY
The PROJECCT name, logos, division names, branding, website design, software, processes, graphics, written materials, training materials, workshop and cohort content, recordings, videos, courses, databases, templates, documentation, and other proprietary materials are owned by or licensed to PROJECCT LLC unless otherwise indicated.
If you purchase access to PRO materials, PROJECCT grants you a limited, nonexclusive, nontransferable, revocable license to use them for your own internal business purposes. You may not reproduce, distribute, resell, sublicense, publish, teach from, create derivative works from, or otherwise commercially exploit PROJECCT materials except as expressly authorized in writing.
No license to PROJECCT trademarks is granted except as expressly provided in writing.
21. COPYRIGHT COMPLAINTS
If you believe content available through the Services infringes your copyright, please send a notice to the contact below that includes: your contact information; a description of the copyrighted work; a description of where the allegedly infringing material is located; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature.
We may remove or disable access to material that we believe in good faith infringes the rights of others, and may end access for repeat infringers.
22. THIRD-PARTY SERVICES
The Services may integrate with or link to third-party services, including payment processors, software and database providers, video-conferencing and scheduling tools, email and newsletter platforms, mapping providers, communications platforms, analytics services, insurers, credential-verification providers, and other vendors.
Third-party services have their own terms and privacy practices. PROJECCT is not responsible for third-party services outside its control.
23. ELECTRONIC COMMUNICATIONS
By using the Services, you consent to receive communications from us electronically, including account notices, purchase confirmations, invoices, program and session reminders, service communications, security notices, and other communications relating to your relationship with PROJECCT. Electronic communications satisfy any legal requirement that a communication be in writing.
You may opt out of marketing emails at any time using the unsubscribe link in the message.
Consent to receive marketing communications is not a condition of purchasing any service.
24. WEBSITE INFORMATION
PROJECCT makes reasonable efforts to provide useful and accurate information but does not warrant that website content will always be complete, current, error-free, or available without interruption.
PROJECCT may modify, suspend, discontinue, or replace features or services at any time.
25. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
PROJECCT DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY BE DISCLAIMED BY LAW.
PROJECCT DOES NOT WARRANT THAT:
THE SERVICES WILL ALWAYS BE AVAILABLE;
ALL INFORMATION WILL BE ERROR-FREE;
ANY PARTICULAR PROVIDER OR CLIENT WILL PERFORM AS EXPECTED;
ANY OPPORTUNITY WILL RESULT IN A CONTRACT;
ANY BUSINESS RESULT WILL BE ACHIEVED; OR
THIRD-PARTY SERVICES WILL OPERATE WITHOUT INTERRUPTION.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
26. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECCT LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, LOST OPPORTUNITIES, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECCT’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO PROJECCT FOR THE APPLICABLE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU PAID NOTHING.
Separate agreements may establish different limitations for specific services.
Nothing in these Terms limits liability that cannot legally be limited.
27. DISPUTES BETWEEN USERS
Unless PROJECCT is expressly a party to the underlying transaction, PROJECCT is not responsible for disputes between clients, providers, contractors, vendors, users, or other third parties introduced through LINK or another PROJECCT service.
Users remain responsible for resolving obligations arising under contracts they enter into with one another.
PROJECCT may, but is not required to, assist with communications or dispute resolution.
28. INDEMNIFICATION
To the maximum extent permitted by law, you agree to indemnify and hold harmless PROJECCT LLC and its members, managers, employees, agents, affiliates, and representatives from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from:
your violation of these Terms or applicable law;
your infringement of another party’s rights;
false or misleading information you provide;
your business operations;
services you perform for another party; or
User Content you submit.
This provision does not apply to the extent a claim results from PROJECCT’s own conduct for which indemnification may not lawfully be required.
29. SUSPENSION AND TERMINATION
PROJECCT may suspend or end access to an account or service where reasonably necessary because of:
violation of these Terms;
suspected fraud;
nonpayment;
expired or invalid credentials;
safety concerns;
legal or regulatory requirements;
material performance issues; or
conduct that threatens PROJECCT, its clients, providers, systems, or users.
You may stop using the Services at any time. Provisions that by their nature should survive termination, including those on payment, intellectual property, disclaimers, limitation of liability, and indemnification, will survive.
30. GOVERNING LAW AND VENUE
Except where applicable law requires otherwise, these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
Unless a separate agreement provides otherwise, disputes concerning these Terms will be brought in a court of competent jurisdiction, subject to any jurisdictional or venue requirements imposed by applicable law.
Any mandatory rights available to consumers under the laws of their jurisdiction are not waived by this section.
31. CHANGES TO THESE TERMS
PROJECCT may update these Terms from time to time. The updated version will be posted with a revised effective date. Where required by law, we will provide additional notice of material changes.
Continued use of the Services after an updated version becomes effective constitutes acceptance to the extent permitted by law.
32. GENERAL
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
No waiver. Failure by PROJECCT to enforce a provision does not waive its right to enforce that provision later.
Assignment. You may not assign these Terms without our written consent. PROJECCT may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Events beyond our control. PROJECCT is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, severe weather, utility or internet outages, failures of third-party platforms, labor shortages, or government action.
Entire agreement. These Terms, together with the Privacy Policy and any applicable transaction-specific agreement, are the entire agreement regarding use of the Services addressed here.
